5.1 Format of the Code
5.1(1)M M and E sections:
(a) Sections of the NESFA Code herein designated as "(section)E" are Executive Regulations, which can be adopted, rescinded, or amended by the Executive Board or the Membership. Sections designated "(section)M" are Standing Rules, which can be adopted, rescinded, or amended only by the Membership.
(b) Sections of the NESFA Code can be added by a simple majority vote of the Executive Board or the Membership. Sections can be amended or rescinded by the appropriate body by a majority vote if notice is given or, if notice is not given, by a two-thirds vote or a vote of one half of all Members eligible to vote, whichever is less.

5.1(2)E Sections of the NESFA Code designated as "(section)F" are fiats of an Officer, committee, or government agency that can be adopted, rescinded, or amended by the Officer, committee, or government agency involved. These sections are included at the discretion of the Rules Committee. [9/72]
5.1(3)F Rules Committee: Fiat sections of the NESFA Code shall begin with the name of the issuing Officer or committee. This will be followed by a colon and then the body of the section. [pre-1974]
5.2 Agreements with Noreascons I, II, and 3
5.2(1)M The N.E.S.F.A., Inc. agrees to assume all assets and liabilities of Noreascon, the 29th World Science Fiction Convention. There are no known legal liabilities; there is a moral obligation to produce a convention proceedings. Assets include x copies of the program book, y copies of the Noreascon Record, and about $500 in cash. [7/74. Noreascon (I) was the 1971 Worldcon, held in Boston. The above agreement constituted a merger between Noreascon and NESFA. Under an earlier agreement NESFA had already been handling sales of the Record (produced by Noreascon in 1/73).]
5.2(2)M NESFA accepts Noreascon II's offer to turn over responsibility for sales of Noreascon II items, on the conditions that NESFA render the quarterly reports and royalties to Damon Knight and Kate Wilhelm and that NESFA agree to supply Noreascon II with such copies of the four items (Better Than One, Program Book, costume catalog, and "Eripmav" T-shirt) as Noreascon II may need without charge. NESFA will have full control over all other aspects of sales, including price, discounts, advertising, and storage. [6/81. Noreascon II (the 1980 Worldcon) was managed by Massachusetts Convention Fandom, Inc. (MCFI), which turned over sales to NESFA but maintains a separate existence. The Noreascon II Memory Book was added to the above list in 12/85, and the Smofcon 3 game in 12/86.]
[After Noreascon 3 (1989) NESFA similarly took over sales of the N3 sales items, as listed in Section 4.2(7). No formal agreement seems to have been made, but presumably the matter was treated as a default under the provisions of the preceding rule.]
5.2(3)M NESFA agrees to transfer to Massachusetts Convention Fandom, Inc., its trademark rights to the name "Noreascon," in consideration of a donation of $19.89. [10/83; approved by MCFI 12/83]
5.2(4)M The Greater NESFA/MCFI Co-Prosperity Sphere [a joint committee of NESFA and Massachusetts Convention Fandom, Inc.] was established to deal with relations between the two organizations. [8/86. Actually relations have since mostly been handled by interlocking directorates rather than by a formal committee.]
5.2(5)E There is no obligation for MCFI to pay anything for the use of NESFA's facilities, nor for NESFA to pay anything for the use of MCFI's equipment. [E 4/87. 5.3 Rights
5.3(1)M All rights which NESFA may have to the song "The Ballad of Gordy Dickson" are reserved to Ben Bova. [3/75]
5.3(2)E All rights are reassigned to Gordon Dickson for articles, etc. written by him in NESFA publications (i.e., Boskone program books) which have not been previously assigned to him. [11/75]
5.3(3)M The acceptance of $350 plus two copies of the translation for rights to a French translation of the Cordwainer Smith concordance is approved. [3/87]
5.3(4)M Certain Japanese fans who contacted NESFA are authorized to translate the Cordwainer Smith concordance into Japanese and publish it in their fanzine in exchange for several copies of the translation. [4/88]
5.3(5)M All rights which NESFA has to use the name "Dickson!" as the title of a new book are granted to Gordon R. Dickson. [8/94]
5.3(6)M NESFA grants to Arisia non-exclusive use of any rights which NESFA may have to the bibliography of the works of Emma Bull and Will Shetterly published by NESFA when they were GoH at Boskone. [5/95]

5.5 Arms and Shield
5.5(1)M Existing representations of the Arms of the Corporation less than three inches in diameter, including that used on the NESFA letterhead, are affirmed to be correct. The Membership has not yet chosen to define the form of larger representations. [10/88. 5.6 Relations with Other Organizations
5.6(1)M NESFA affirms its support for a diverse fandom in New England and will encourage and support non-conflicting conventions and groups. [11/90]
5.6(2)M The Executive Board is authorized to allow other organizations whose goals and purposes are in agreement with NESFA's to use the Clubhouse for meetings. A NESFA keyholder must be present and take responsibility for any such meeting. The rental fee will be set by the Executive Board, who may forgive all or part of the fee if they think it proper. The Board shall notify the Membership of all such arrangements for meetings. [1/93]
5.6(3)E Rules for use of the Clubhouse by other organizations:
5.6(4)M When possible, copies of all books produced by NESFA should be donated to the MIT Science Fiction Society library. [11/93]
5.6(5)M MASSFILC may borrow the loaner copies of the NESFA Hymnals whenever this does not interfere with NESFA's use of them. [12/01]
